(hereinafter referred to as the "Subcontractor")

Whereas, the Contractor is engaged in the business of providing tile, LVP (Luxury Vinyl Plank), Laminate, and tile installation services, and

Whereas, the Subcontractor is duly licensed and qualified to provide such services;

Now, therefore, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

  • Services: 
    • The Subcontractor agrees to provide tile, LVP, Laminate, and Tile installation services to the Contractor in accordance with the terms and conditions of this Agreement.
  • Scope of Work: 
    • The Subcontractor shall perform the services in a professional and workmanlike manner, consistent with industry standards and practices.
  • Term:
    • The Contractor shall compensate the Subcontractor based on the agreed-upon invoice, which is confirmed by email from both parties. Payment shall be made in accordance with the following terms: 30% of the total amount shall be paid before the commencement of work, with the remaining 70% to be paid upon completion of the services.
  • Independent Contractor: 
    • The Subcontractor agrees that it is an independent contractor and not an employee, partner, or joint venturer of the Contractor. The Subcontractor shall be solely responsible for payment of all taxes, including but not limited to federal and state income taxes, social security taxes, and unemployment taxes.
    • Insurance: The Subcontractor shall maintain adequate general liability insurance coverage with limits not less than per occurrence and aggregate.
  • Compliance with Laws:
    • The Subcontractor shall comply with all applicable federal, state, and local laws, regulations, and ordinances in performing the services under this Agreement.
  • Indemnification: 
    • The Subcontractor agrees to indemnify, defend, and hold harmless the Contractor from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorney's fees) arising out of or relating to the Subcontractor's performance of the services under this Agreement.
  • Termination:
    •  Either party may terminate this Agreement upon . In the event of termination, the Subcontractor shall be entitled to payment for services rendered up to the date of termination.
  • Governing Law: 
    • This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
  • Entire Agreement:
  •  This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
